These terms and conditions explain your rights and obligations. Please read them carefully.

This agreement applies as between you and Ordys.co.uk. You agree to comply and be bound by these terms and conditions with your first use of this Website and any Services provided by Ordys.co.uk.

1. Definitions and Interpretation

In this Agreement the following terms have the following meanings:

  • the term “Ordys.co.uk”, “Ordys”, “us” or “we” refers to the owner of the website/services
  • the terms “You”, “Users” refer to the user or viewer of the website/services
  • the term “Your Website” refers to the website/services provided by Ordys
  • the term “Customer” refers to users of your business website
  • “Service” refers to the online menu or ordering system and services related to them provided by Ordys.co.uk

2. Intellectual Property

The online ordering website that we provide to You is the property of Ordys.co.uk. Unless previously purchased by You, the domain name(s) of the online ordering website(s) is the property of Ordys.co.uk. The database server and the database data of the online ordering website(s) is the property of Ordys.co.uk.

3. Modification of Terms & Conditions

Ordys.co.uk reserves the right, at its sole discretion, to modify or replace any of these Terms of Use at any time. Ordys.co.uk will notify You about changes via email. Your continued use of the Service following the posting of any changes to the Terms of Use constitutes acceptance of those changes.

4. New Features

Ordys.co.uk may, in the future, offer new services and/or features through the Service. Such new features and/or services will be subjected to these Terms of Use. Your continued use of the Service after the introduction of and/or services constitutes your acceptance of the Terms of Use. Some of the new features will be included as part of your fee, so You will get these upgrades free of charge.

5. Registration

To use the Service, you are required to register with us by providing information to be specified during the registration process. You shall provide us with accurate, complete, and updated registration information. Failure to do so will constitute a breach of the Terms of Use, which may result in immediate termination of your account. In addition, you agree to maintain and update your registration information to ensure that it is accurate and complete at all times.

6. Your responsibilities for the content and day-to-day operations

You are solely responsible for the development and maintenance of Your Website, including the operation of your business, accepting and processing customer orders and handling any customer inquiries, complaints, or disputes arising from orders generated through Your Website. Ordys.co.uk has no obligation to back-up any data related to your business's operations and you should independently take appropriate steps to maintain such data in accordance with your needs and requirements.

7. Payment for using our Services

You are required to pay an agreeable and a non-refundable fixed monthly fee for each account. You are required to pay any additional costs aroused from using the online service such us fax fees and PayPal charges. All fees are in GB Pounds Sterling and the payment have to be made through PayPal system. You are invoiced at the beginning of each calendar month for that calendar month plus all costs (if any) of fax service aroused during the previous calendar month. Currently Fax charge is 10p per page. Invoiced amounts shall be due and payable within 7 days of receipt of invoice. The invoice will be emailed to you.

If you fail to pay us on the due date, we will suspend all services until payment has been made in full. If you don't pay within two weeks from the due date, we will delete your account.

8. PayPal service

Your relationship with PayPal is separate from your relationship with Ordys.co.uk and is regulated by the terms and conditions contained in the PayPal User Agreement and the PayPal Privacy Policy. Such terms and conditions are available at PayPal website.

9. Modifications to the Service and Prices

Prices of Services provided by Ordys, are subject to change upon 30 days notice from Ordys.co.uk. Such notice may be given at any time by posting the changes to www.ordys.co.uk or send via email.

Ordys.co.uk is not responsible for fax or Paypal transactions charges change, therefore is unable to notify you about any prices' modification.

Ordys.co.uk reserves the right at any time and from time to time to modify the Service (or any part thereof) with or without notice.

Ordys.co.uk shall not be liable to you or to any third party for any modification, price change, suspension, or discontinuance of the Service.

10. 30-day free trial, upgrading/downgrading the account

You may upgrade or downgrade your account at any time online, through Ordys Management Console in the Account section.

We offer you a 30-day free trial from the initial registration. No extended time is offered for unused period. Please note that after free 30 days, if your account is not terminated, you are automatically agreeing to use the service provided by Ordys.co.uk. You will be billed in the beginning of the following month for that month plus the number of days in the previous month after the free trial ended.

If you upgrade your account from Website with online menu to Website with ordering system the difference in price will be added to your next monthly payment.

11. Termination of using our Services

Either Ordys.co.uk or you may terminate your account and your use of our Services. You may cancel your use of Ordys Services at any time through your Management Console, however you will not be entitled to any refund and you will have to pay the fax fees if you received any faxes since the last payment. If Ordys.co.uk terminates your Account and your use of our Services, you will be notified by email and an explanation for the termination will be provided. Notwithstanding the foregoing, we reserve the right to terminate without giving reasons.

Ordys.co.uk reserves the right to keep your details for only necessary period of time in order to identify your use of our services in case of any outstanding payments.

Ordys.co.uk reserves the right to delete unconfirmed accounts after 30-day free trial period.

12. Availability of the Web Site and the Service

The Website and the Service is provided "as is" and on an "as available" basis. We give no warranty that the Website and the Service will be free of defects and / or faults. To the maximum extent permitted by the law we provide no warranties (express or implied) of fitness for a particular purpose, accuracy of information, compatibility and satisfactory quality. We will not be liable for any loss of income, or any other action that might arise, in the event that your website or email facility is unavailable.

If you obtain Online ordering system and choose to receive orders via fax you are required to keep your fax machine on standby all the time. Your customers can place orders in advance, even when your shop is closed. You are required as well to ensure that the opening hours of your business are always accurate and reflect all holidays and closing times.

13. Limitation of Liability

To the maximum extent permitted by law, Ordys.co.uk accepts no liability for any direct or indirect loss or damage, foreseeable or otherwise, including any indirect, consequential, special or exemplary damages arising from the use of the Web Site and the Service or any information contained therein. Nothing in these terms and conditions excludes or Ordys.co.uk´ liability for death or personal injury resulting from any negligence or fraud on the part of Ordys.co.uk Whilst every effort has been made to ensure that these terms and conditions adhere strictly with the relevant provisions of the Unfair Contract Terms Act 1977, in the event that any of these terms are found to be unlawful, invalid or otherwise unenforceable, that term is to be deemed severed from these terms and conditions and shall not affect the validity and enforceability of the remaining terms and conditions. This term shall apply only within jurisdictions where a particular term is illegal.

14. Waiver

The failure by either party to enforce at any time, or for any period any one or more of the Terms and Conditions herein shall not be a waiver of them or of the right at any time subsequently to enforce all Terms and Conditions of this Agreement.

15. Website Links

From time to time our website may also include links to other websites. These links are provided for your convenience to provide further information. They do not signify that we endorse the website(s). We have no responsibility for the content of the linked website(s).

16. Domain name

You can obtain a free domain name with Ordys.co.uk – yourbusinessname.servesfood.co.uk or, as you wish, purchase your own domain. We support and handle all configurations with .servesfood.co.uk domain names, but Ordys.co.uk is not responsible for handling and renewal of your own domain name.

17. Website template customisation

You can request change of colours, fonts, pictures of your website. We can as well include your logo. We endeavour to complete it within 3 working days, but exact estimation will be given when you make your request. All depends on volume of our work and complexity of your request. To make amendments to your website we need you to have already chosen domain and template. Please send us as accurate indications of changes as possible:

  • logo in SVG format
  • high quality pictures
  • RGB colours numbers or scanned menu send via email
  • name and size of font family e.g. 12 Arial, 14 New Times Roman

All above changes will be processed with no additional fee.

If you request more complex changes we might charge you £40/hour prior your agreement.

In case of providing your own pictures you are fully responsible for complying with pictures' terms of use and copyrights. Ordys.co.uk is not responsible for checking the sources.

18. Handling sensitive data and marketing communication

You are required to treat your customers' data, obtained during their registration, in accordance with Data Protection Act. Unless you are obliged or permitted the Data shall not be disclosed to third parties.

Your customers, when registering, can choose if they wish to be contacted for marketing purposes. You are obliged to ensure that all marketing materials are send to customers who agreed to receive that service. You always need to use up-to-date list of your clients which can be obtained from Ordys management console.

19. Complaints

We take all complaints very seriously. These should be emailed to support@ordys.co.uk. All complaints will be dealt in a fair and confidential manner.

20. Law and Jurisdiction

Your use of this website and any dispute arising out of such use of the website is subject to the laws of England, Scotland and Wales.
